A representative office in Indonesia that conducts unauthorized commercial activities may face licensing sanctions, including suspension or revocation of its approvals. The foreign company may also incur additional tax liabilities if its activities create or expand a taxable presence in Indonesia.
Which Representative Office Activities Can Trigger Violations?
A general representative office (KPPA) may supervise its foreign parent company’s business interests, coordinate with Indonesian partners, and prepare for future investment. It cannot conduct commercial sales, provide paid services, or manage an Indonesian subsidiary or other local company.

A foreign trade representative office (KP3A) may conduct promotional activities, market research, and authorized trade-related functions, but cannot operate as an Indonesian trading company conducting domestic sales.
Activities that may breach these restrictions include:
- Unauthorized sales and services: Selling products, providing paid services, issuing commercial invoices, or collecting payments outside the office’s permitted scope.
- Commercial transactions: Using a KPPA to participate in commercial sale or purchase transactions between its foreign parent company and Indonesian businesses or individuals.
- Business management: Using a KPPA to manage an Indonesian subsidiary or another local company.
A KPPA may communicate with Indonesian business partners as part of its liaison functions, but it cannot participate in commercial transactions prohibited under its licensing conditions.
Foreign electronic commerce representative offices (KP3A Bidang PMSE) have separate requirements. Under regulations effective June 8, 2026, their functions include consumer protection, supporting the competitiveness of Indonesian products, and dispute resolution.
Construction and other sector-specific representative offices are subject to their own operating restrictions.
What Penalties Can a Representative Office Face for Unauthorized Activities?
Depending on the violation and applicable licensing rules, administrative sanctions may include:
- Written warnings: Instructions to correct unauthorized activities within a specified period.
- Operational restrictions: Orders to stop prohibited activities or suspension where authorized by the relevant regulations.
- License revocation: Cancellation of the approvals required to operate the representative office.
For foreign electronic commerce representative offices, specified violations may result in up to three written warnings, followed by temporary blocking of the overseas platform’s services in Indonesia if the violations remain unresolved.
Foreign employees may face immigration consequences if their actual work exceeds their authorized employment activities. The representative office’s head may face separate liability where their own conduct violates applicable laws, although a licensing breach does not automatically create personal liability for the parent company’s debts.
Can Unauthorized Activities Create Tax Liabilities in Indonesia?
A representative office may constitute a permanent establishment (Bentuk Usaha Tetap, or BUT) under Indonesian domestic tax rules. An applicable tax treaty may restrict Indonesia’s taxing rights, including where activities are limited to preparatory or auxiliary functions.
Where the office performs commercial activities, the tax authorities may assess income attributable to its Indonesian operations, together with applicable VAT, withholding taxes, and penalties for non-compliance.
For foreign trade representative offices from countries without a tax treaty with Indonesia, a final income tax of 0.44% applies to the gross value of qualifying exports to Indonesian customers. For offices from treaty-partner countries, the applicable tax treatment must be determined under the relevant treaty, including its branch profits tax provisions.
How Can a Foreign Company Correct Representative Office Violations?
The foreign company should stop unauthorized activities and review related contracts, invoices, and payments to identify outstanding obligations. Depending on the violation, it may also need to submit corrective filings or respond to enforcement notices.
Contracts entered outside the representative office’s permitted scope are not automatically invalid. Their enforceability depends on the signatory’s authority, the contractual terms, and applicable law.

Where the company intends to conduct commercial operations, it may need to establish a foreign-owned limited liability company (PT PMA) with the appropriate business classifications and licenses.
Establishing a PT PMA does not automatically transfer existing contracts or extinguish liabilities arising from the representative office’s earlier activities. Any transfer or settlement must be handled separately.
