Shareholder Agreements in Indonesia: A Guide for Foreign Investors

A shareholder agreement in Indonesia is a contract governing shareholders’ rights and obligations, including decision-making authority, ownership arrangements, share transfers, and dispute resolution.

For foreign investors establishing a PT PMA or entering a joint venture, a shareholder agreement can provide contractual protections beyond the company’s Articles of Association, particularly concerning ownership interests and significant business decisions.

Is a Shareholder Agreement Required in Indonesia?

Indonesian company law does not generally require foreign investors to enter into a shareholder agreement when establishing or operating a PT PMA.

However, every PT PMA must have Articles of Association governing its corporate structure, share capital, shareholder meetings, voting procedures, and the authority of directors and commissioners.

Unlike the Articles of Association, a shareholder agreement generally binds only its parties. Provisions affecting formal corporate governance may also need to be incorporated into the Articles of Association.

What Should a Shareholder Agreement Include?

Share ownership and capital contributions

The agreement should specify ownership percentages, initial capital contributions, obligations to provide additional funding, and procedures for issuing new shares.

It may also establish protections against ownership dilution and address what happens if a shareholder fails to meet an agreed funding obligation, including contractual remedies or arrangements for other shareholders to provide financing. Any resulting changes in share ownership must comply with Indonesian company law.

Management and voting rights

Shareholders may negotiate rights to nominate directors and commissioners and require additional approval for significant business decisions.

These decisions, commonly called reserved matters, may include:

Minority shareholder protections

Minority investors may negotiate access to financial information, consultation rights, and approval rights over specified transactions that would otherwise be controlled by majority shareholders.

These contractual protections supplement the rights available under Indonesian company law but do not automatically allow minority investors to block corporate decisions unless the relevant approval arrangements are legally effective.

Share transfers and exit rights

Shareholder agreements may establish contractual exit rights, including:

  • Rights of first refusal: Existing shareholders receive the opportunity to purchase shares before they are offered to outside buyers.
  • Tag-along rights: Minority shareholders may participate in a controlling shareholder’s sale under agreed conditions.
  • Drag-along rights: Qualifying shareholders may require other shareholders to participate in a sale, subject to contractual terms and applicable law.

These rights depend on the agreement’s terms and, where applicable, the Articles of Association. Indonesian company law also permits certain restrictions on share transfers.

Share transfers must comply with statutory procedures and the Articles of Association, including a transfer deed, updates to the shareholder register, and notification of changes in shareholder composition to the Ministry of Law within the applicable deadline. Under the general Company Law rule, notification must be made within 30 days after the transfer is recorded in the shareholder register.

Deadlock and dispute resolution

Where voting power is equally divided or decisions require multiple approvals, the agreement may establish negotiation, mediation, buyout arrangements, or other deadlock mechanisms.

It should also specify the governing law and whether contractual disputes will be resolved through courts or arbitration.

Are Shareholder Agreements Legally Enforceable in Indonesia?

Shareholder agreements can be legally binding if they meet Indonesia’s contractual requirements, including mutual consent, legal capacity, a defined subject matter, and a lawful purpose.

However, contractual provisions cannot override mandatory company law.

Consistency with the Articles of Association

Shareholders may agree that certain transactions require unanimous consent. However, a corporate resolution adopted in accordance with applicable law may remain valid even if it breaches that contractual requirement.

Amendments to a shareholder agreement generally require the consent specified in the agreement. Changes affecting formal corporate governance may also require amendments to the Articles of Association and applicable corporate approvals.

Foreign ownership restrictions

Shareholding arrangements must comply with Indonesia’s foreign investment regulations, including sector-specific ownership limits and licensing requirements.

Indonesian investment law also prohibits nominee arrangements in which shares are registered under another person’s name on behalf of the actual investor. Such agreements are void by law.

Language requirements

Shareholder agreements involving Indonesian parties must comply with Indonesian-language requirements. Where foreign parties are involved, agreements should generally be prepared in Indonesian and English or the relevant foreign language.

The parties may agree which language prevails if differences arise between versions. Failure to comply with language requirements does not automatically invalidate an agreement involving Indonesian and foreign parties, but it may create legal disputes, particularly where bad faith is involved.

Consequences of breaching the agreement

A breach may involve failing to provide committed funding, transferring shares contrary to contractual restrictions, or disregarding agreed approval requirements.

Affected shareholders may seek damages or other remedies available under Indonesian law, depending on the agreement and circumstances.
